Nicole Frigo

Nicole Frigo is a business lawyer specializing in M&A, company consultancy, especially on cross border transactions and asset protection. She is focused on wealth management, where she occasionally takes on the role of family officer.

She assists many Italian companies doing business around the world, as well as foreign companies and individuals investing in Italy, offering them assistance both in the preliminary stage of setting up and/or acquiring companies. She also assists companies with regulating the shareholders’ rules for management through the drafting of Articles of Association, shareholders’ agreements, MoU and share purchase agreements.

Nicole has gained a broad experience in commercial consultancy for companies, both in Italy and abroad, to which she gives assistance in negotiations and drafting of national and international commercial and corporate agreements (in English, Italian and French), including but not limited to supply agreements, distribution, consultancy, franchising and master franchising agreements, licensing agreements and sponsorship agreements.

She works on international contracts, where she is in charge of analyzing and focusing the most convenient applicable law, guiding the drafting phase to the principle of completeness and self-sufficiency typical of international contracts.

This helps create a contractual system as autonomous as possible mainly to the level of general conditions, applicable law, dispute resolution procedures.

Nicole’s assistance to companies extends also to the activities connected to the ordinary corporate management including the support of the Board of Directors and shareholders’ general meeting through participation and taking note of the minutes.

Working together with the tax department, she also assists clients with asset protection through the creation and management of trusts within a customized private wealth strategy (individual and family tax planning and wealth management). In addition to the role of trustee, Nicole manages relevant real estate assets as the family officer.
