Brian O’Connor is a Managing Director specializing in mergers and acquisitions in the Commercial practice at Andersen. He has over 15 years of experience serving a variety of corporate and private equity clients and their related shareholders and stakeholders. Brian’s expertise includes:

• Buy-side tax due diligence for corporate and private equity acquirors for both U.S. domestic and foreign target companies
• Corporate (domestic and cross-border), partnership and S corporation income tax structuring of acquisitions and internal restructurings
• Sell-side tax assistance for individual sellers and related corporate, partnership, and S corporation entities
• Legal agreement review and working with counsel to address tax matters of proposed term-sheets, letters of intent, and definitive agreements
• Consulting on U.S. income tax compliance matters for third party, internal and related party transactions
• Analysis of U.S. tax treatment of transaction costs

Brian’s primary focus is assisting clients on tax matters for acquisitions and dispositions and related post transaction planning. Brian has extensive experience across industries and markets, most recently focusing on west coast clients and counterparties.

Before joining Andersen, Brian was a Senior Manager with EY’s West Coast international and transaction tax practice.
