Andrei Karp

Andrei Karp is a managing director in the Commercial practice at Andersen. He has nearly 20 years of experience serving corporate and private equity investors on business and tax matters related to mergers, acquisitions, joint ventures, restructurings and divestitures across a wide range of industries, including technology, media and entertainment, healthcare, pharmaceuticals, consumer products and retail, oil and gas and industrials.

Andrei’s primary areas of practice include:

• Transaction related matters including buy-side and sell-side tax planning, transaction structuring, tax due diligence, tax modeling, purchase agreement review, and post-closing integration•U.S. corporate taxation, including consolidated tax return matters, tax-free reorganizations, internal restructurings and LERs
• International tax structuring, diligence, and U.S. international taxmatters related to outbound and inbound investments
• Partnership and flow-through (S corporation and DREs) taxation,including matters related to transfers of interests, tax basis step-up,formations and terminations, and special partner allocations
• Public company investments including IPOs and SPACs
• Tax attribute monetization strategies, including Section 382/NUBIGanalysis, Section 384, SRLY planning, and CERT analysis
• Tax technology implementation, assessment, and strategy
• Bankruptcy and distressed debt workouts
• Personal holding company and accumulated earnings tax issues

Prior to joining Andersen, Andrei was with EY, specializing in mergers and acquisitions in their New York transaction tax practice. He also previously worked at PwC and Deloitte in their merger and acquisitions practices in New York.
